EURONAV SHAREHOLDERS IN LINE FOR A US$46 MILLION PAYOUT FOLLOWING COURT RULING AGAINST CMB

On Friday, the Brussels Market Court in Belgium ruled that Compagnie Maritime Belge (CMB) wrongly calculated the offer price of shares during its mandatory takeover of Euronav NV in February this year. The court decided the value of each share should be retrospectively increased by at least US$0.52, amounting to an additional pay out of US$46 million. This sum takes into account the 69.2 million shares tendered in March 2024, and those remaining that may be sold if the public offer is re-opened. The Markets’ Court found that when calculating the bid price, CMB had failed to take into account special advantages worth US$104 million granted to Frontline when simultaneously selling it the best part of Euronav’s fleet (its newest 24 VLCC’s or very large crude carriers). The Court’s findings are exceptionally critical of CMB and Frontline: “It is particularly curious that the negotiations regarding the sale of the fleet, although they involved a transaction between Frontline and Euronav, took place exclusively between Frontline and CMB. Euronav was not at the negotiating table. As FourWorld rightly puts it, Euronav was completely sidelined” (para. 112) “CMB and Frontline exerted tremendous pressure on Euronav's supervisory board. (…) The independent chairwoman of the council, in particular, was placed under intense pressure” (para. 115) “Under normal market conditions, transactions are negotiated between directly involved parties, especially between buyer and seller. This is not what happened here. The price of about 2.35 billion dollar paid by Frontline cannot therefore be considered market-conform under these circumstances. This price implied a particular advantage in favor of Frontline.” (para. 117) This ruling breaks new legal ground in Belgium and abroad regarding judicial protection of the minority shareholders, putting brazen bidders willing to game the system on notice. These findings were only made possible after key documents, including supervisory board meeting minutes, legal and financial advice and further evidence, were made available to the public following a court ruling in the United States earlier this year in a case also brought by FourWorld Capital Management LLC (FourWorld). John Addis, Founder and Chief Investment Officer (CIO) of FourWorld said: “Friday’s ruling makes it clear that Euronav’s two largest shareholders acted to serve their own interests at the expense of the company and minority shareholders which is an important first step in unravelling this deal. We believe there was a far greater cost to independent shareholders than recognized by the Brussels Market Court on Friday. “CMB and Frontline managed to pull off the deal of a lifetime underneath the noses of Euronav’s supervisory board and financial regulators. Our years of experience fighting for minority shareholder interests has shown that if a deal looks too good to be true, it probably is. FourWorld will continue to fight through the courts for a fair outcome to this case.” The Brussels Markets’ Court placed the resolution of the share price adjustment firmly back in the jurisdiction of the Belgian financial regulator (FSMA), ordering it to re-examine the bid price taking into account its findings. This means that the FSMA may yet increase the bid price by more than 0,52 US$ – something FourWorld will ask it to do. Having concluded that Euronav’s Supervisory board was sidelined and then coerced, this ruling paves the way for success in a separate legal challenge currently underway in the Antwerp Enterprise Court. In that case, FourWorld has petitioned for the unwinding of CMB’s mandatory takeover, Euronav’s US$2.35 billion fleet sale to Frontline and Euronav’s decision to renounce and settle its arbitration claim against Frontline. Broadband Leaders Publish Permitting Success Strategies for ISPs and Local Governments

Today, a group of leading broadband organizations published a strategic paper titled “ Permitting Success: Closing the Digital Divide Through Local Broadband Permitting. ” The paper will help local governments and Internet Service Providers (ISPs) navigate broadband network construction challenges and maximize investments in broadband connectivity for all Americans. The Benton Institute for Broadband & Society, in partnership with the Georgetown Law Institute for Technology Law & Policy, the American Association for Public Broadband, Fiber Broadband Association, Brightspeed, and GFiber, wrote the Permitting Success paper. The paper publishes at a critical moment when broadband infrastructure funding is at an all-time high due to the Broadband Equity, Access, and Deployment (BEAD) program—the single largest broadband program in U.S. history. This historic level of funding creates an opportunity to bring high-speed internet access to every community in America and close the digital divide. Historic levels of funding will accelerate broadband network construction, putting enormous pressure on local governments responsible for permitting infrastructure construction within municipal boundaries. These processes take time and resources, and not every government is equipped for the coming wave of construction. This is especially true in rural areas, where municipal resources are lowest and BEAD activity will be highest. Commerce Finds Dumping; Imposes Duties on Paper Plates from China, Vietnam, and Thailand

The American Paper Plate Coalition (“APPC”), representing the majority of American paper plate production, announced today that the U.S. Department of Commerce (Commerce) has made preliminary affirmative findings in the antidumping (AD) duty portion of investigations involving paper plate imports from China, Vietnam and Thailand, and imposed preliminary AD duties up to 1039.05 percent. The duties will take effect on or about September 6, 2024. These duties will be imposed on top of anti-subsidy duties of up to 313.14 percent on imports from China and up to 237.65 percent on imports from Vietnam, levied in preliminary decisions released in June 2024. Preliminary duties now total up to 1352.19 percent on imports from China, up to 397.44 percent on imports from Vietnam, and up to 73.17 percent on imports from Thailand. “Improper subsidies and other unfair trade practices have hurt our industry, our company, and our workers over the years,” said William P. Biggins, Jr., President and Co-Owner of APPC member Aspen Products, Inc. “The duties announced today are a welcome step in the right direction to get the market back on track. We are grateful to Commerce for its commitment to seeing our trade laws enforced and for giving all players a chance to fairly compete.” Commerce’s preliminary determinations come in response to petitions filed in January by the APPC, requesting AD and CVD investigations into unfairly priced and subsidized imports of paper plates from China, Thailand, and Vietnam. Commerce is expected to announce its final AD determinations in these investigations in early November 2024. The countervailing duty investigations concerning imports from China and Vietnam are ongoing and may lead to higher final CVD rates. “We welcome the competition of a free and fair market – but that’s not what we’ve been experiencing,” said Robert Epstein, President and CEO of APPC member AJM Packaging Corporation. “We look forward to getting back on a level playing field where all products compete on their own merits. On Monday the National Legal and Policy Center filed its brief in federal court in Omaha, Nebraska opposing Warren Buffett ‘s and Berkshire Hathaway ‘s motion to dismiss NLPC’s lawsuit filed in May to hold them accountable for having NLPC’s Chairman, Peter Flaherty, arrested at Berkshire’s 2023 Annual Meeting. Mr. Flaherty’s presentation, as part of the meeting agenda, supported NLPC’s shareholder proposal to have the positions of Chairman and CEO be held by separate individuals, as a matter of good corporate governance. As part of his presentation, Mr. Flaherty criticized Mr. Buffett’s billions of dollars of support to the Bill and Melinda Gates Foundation, which promotes the controversial Critical Race Theory teaching that “math is inherently racist,” and a Gender Identity Toolbox, “which asserts that gender is a result of socially and culturally constructed ideas.” Mr. Flaherty also pointed out Bill Gates ‘s relationship with convicted sex offender Jeffrey Epstein, which had been reported in a Wall Street Journal story two days before the meeting. As he spoke, Buffett cut Flaherty’s microphone and ordered his security guards to eject Mr. Flaherty from the arena, who had an Omaha Police officer arrest Flaherty on the spot. “The silencing and arrest of a shareholder who was speaking in favor of a shareholder proposal has never before occurred at an annual meeting of a public company in the United States,” Flaherty said. “We look forward to having our day in court to hold Mr. Buffett and Berkshire Hathaway accountable for their actions,” said NLPC Counsel Paul Kamenar. In a letter to Assistant Secretary Bryan Newland, the Governor’s Office notes that both projects are far outside the aboriginal territory of the Koi Nation and the Scotts Valley Band and the Department of the Interior has failed to consider reasonable alternative locations within their Lake County homelands.
